1. The Referrer becomes a part of this External Referrals Program ("Program")
upon the Referrer's participation in the Program with Access Healthcare Service
Private Limited ("AHS"), by registering on the Facebook"s weblink of AHS
and subsequently referring profiles of suitable, interested candidates.

2. This Program is applicable only for AHS's hiring in India.

3. Definition: "Referrer" means a person who voluntarily participates in
the Program by referring eligible persons to become a Referee. "Referee"
means a person who is not an existing candidate of AHS, whom the Referrer has referred
through the Program. "Referral amount" means the amount (in INR) that Referrer
is eligible as per the Schedule of Referral amounts enclosed herewith.

4. Period of Validity: This Program shall commence from 01-JUN-2017 and shall
remain valid until terminated or withdrawn by AHS. Any referrals made before this
date are not eligible under this Program. This Program may be terminated by AHS
at any time without giving reasons or notice thereof on the Facebook weblink. Further,
the terms and conditions of this Program can be amended or modified from time to
time at the sole discretion of AHS without any notice.

5. Eligibility Criteria:

5.1 Both the Referee and the Referrer must be above 18 years of age.

5.2 Referrer should only be an individual. Companies, firms & other incorporated
entities, including but not limited to recruitment consultants and/or employees,
representatives of recruitment consultants are not eligible to refer candidates
under this Program.

5.3 The Referee must be a new candidate and should not be an existing registered
candidate of the AHS.

5.4 The Referrer shall not be eligible to receive the referral payment under this
Program in the event that the Referee is already a candidate registered in the database
of the AHS at the date of referral or if AHS has already received the details of
the Referee from other sources but has not yet entered them on the AHS's database.

5.5 The Referee must be notified and must have consented to their details, personal
data and information which is being passed to AHS for this Program before the date
of the referral by the Referrer.

5.6 Referee can only be referred to AHS once. In the event that a Referee is referred
to AHS more than once, only the first person to refer the Referee to AHS (with the
Referee's consent) will be eligible for the referral benefits under this Program.

5.7 Permanent employees, contractual and temporary workers working directly for
AHS are not eligible to participate in the Program.

5.8 The Referrer will be eligible to receive the referral benefits only after the
Referee enters into an employment relationship with AHS and subsequently has completed
the probation period to the satisfaction of AHS, in terms of the employment contract.

6. Referrer's Responsibilities:

6.1 Referrer shall refer the suitable profiles of interested candidates to the AHS
as per the jobs posted on the Facebook's weblink. However, shortlisting the relevant
profiles or candidates and issuing offer to the candidates shall be at the sole
discretion of AHS.

6.2 The Referrer will indemnify AHS and its officers, directors, employees, affiliates,
representative and agents from and against any and all losses, damages, claims,
demands, actions, costs and expenses (including legal/attorney fees), charges, expenses
and liabilities arising directly or indirectly out of Referrer's failure to obtain
consent from the Referee before any personal data or information about the Referee
is passed to AHS with regard to this Program and/or any acts or omissions on the
part of the Referrer.

6.3 The Referrer agrees that AHS will not be held liable for any loss or claim arising
out of this Program and the Referrer hereby waives of any and all claims that it
may have against AHS for any reasons whatsoever.

6.4 The role of the Referrer under this Program is strictly limited to referring
interested candidates and the Referrer hereby agrees that he or she will not make
any representations, promises, warranties or other statements about AHS or AHS's
website, products, services or policies of AHS.

6.5 The Referrer is responsible for providing the full and accurate information
requested by AHS in connection with the Program. Such information includes, but
is not limited to, contact details of the Referee.

6.6 At any stage, if Referrer does not wish to proceed further with the Program,
then Referrer should immediately inform AHS in writing.

7. Eligibility for Referral amount under the Program:

7.1 Subject to meeting the requirements under the terms and conditions of this Program,
Referrer shall be eligible to receive referral amount for a Referee as per the Schedule
of referral amounts, if Referee(s) is placed in a permanent position with AHS. This
amount shall be credited in Referrer bank's account as per the details provided
at the time of registration in the AHS's Facebook weblink.

7.2 Referral amount shall solely depend on the position which is finally offered
to the candidate, irrespective of the position referred by the Referrer.

7.3 AHS shall not be responsible for any taxes, as required under law, arising from
the provisions of payments under this Program. Further, all payments that are to
be made under this Program to the Referrer, shall be subject to deduction of TDS
and any other taxes as may be applicable from time to time.

7.4 Referral amount shall will credited as per the Schedule of Referral amounts
to the Referee through net banking in the Referrer's bank account as per the details
provided initially.

7.5 The Schedule of referral amounts is subject to change from time to time at the
sole discretion of the AHS.

7.6 In case removal of data is requested by either party (referrer or referred candidate) prior to processing of the referral is completed, or within 90 days from the day of the candidate beginning their employment with Access Healthcare, then irrespective of other eligibility criteria, Access Healthcare will not be obligated to pay out the referral bonus for that specific referral.

8. Governing Law and Jurisdiction: These terms and conditions are governed
by and construed in accordance with the laws of India. The courts at Chennai, Tamil
Nadu shall have exclusive jurisdiction to deal with any suit, dispute, litigation
or legal proceedings arising out of this Program.
